I've spent the last decade working across hundreds of startup deals. From founders building their first company to investors managing portfolios of venture-backed businesses. That experience shaped how I think about startup law, capital structures, and what actually moves the needle.
I'm a Startup & VC Attorney at Klehr Harrison Harvey Branzburg LLP in Philadelphia. I work across the whole lifecycle of a startup. Entity structure, equity allocation, venture financing, cap table management, M&A, exits. I've sat on both sides of the table: working with founders through fundraising and strategic decisions, and helping investors evaluate and exit portfolio companies. That dual perspective shapes everything I do.
Here's what I've learned: patterns repeat. I've seen founders and investors make the same mistakes over and over until it's too expensive to fix. I share what I've learned because specificity matters. Most legal content is generic enough that it's basically useless. What actually helps is the kind of insight that comes from sitting in hundreds of deals and recognizing what separates the companies that scale from the ones that get stuck.

Why I Write
Early in my career, I realized there's a gap between what startup founders and investors actually need to know and what most legal content provides. I've had the privilege of working inside venture-backed businesses and advising investors at scale. I see the decisions before they become problems and the consequences after they do. That perspective is rare in legal writing, and I think it's worth sharing.
I write to help people understand what's at stake in the decisions they're making and why some approaches work while others don't. Not to position myself as the expert to hire, but as someone who's been in the room when these decisions matter most and can offer perspective that might save you time, money, and stress.
